TERMS AND CONDITIONS

By and based on submitting any image or video file to KG1 Forged’s or any of KG1 Forged’s various marketing and social media channels You (as defined below), the photographer and submitter, indicate your express consent to all of the following terms and conditions. As used in these “Terms and Conditions”, “we” or “KG1 Forged” means Master Material, LLC D/B/A KG1 Forged, and “You” means the individual or entity submitting materials to KG1 Forged. Any individual or entity that wants to submit content to KG1 Forged must expressly acknowledge the terms of these Terms and Conditions without change.

1. Eligibility. You may only submit Materials to KG1 Forged for which You hold all intellectual property rights. In other words, if You submit a digital image to us, You must own all rights to such image or You must have the authorization of the person who does own those rights.
2. Definitions. As used in these Terms and Conditions, (a) “Affiliates” means any entity controlled by, in control of, or under common control with Master Material, LLC D/B/A KG1 Forged, (b) “Materials” means all content that You submit to KG1 Forged, including all photographs, illustrations, graphics and text, and (c) “Media” means any means of conveying information, whether now known or hereafter devised.
3. Ownership and Consent. You hereby certify that You own all rights in any Materials submitted to any website, including third party websites such as Instagram, facebook, twitter, or similar social media webpages controlled or operated by KG1 Forged, or to any email address owned by KG1 Forged. You consent to the use of such Materials for the purposes marketing, advertisement, or other campaign related to the publishing and use of the Materials (see below).
4. Use of the Materials. You acknowledge and consent that KG1 Forged may use and modify these images in internal and external marketing materials and on KG1 Forged’s social media channels and partner media channels. KG1 Forged cannot guarantee that anyone who shares the Materials or any modification or rendition thereof will comply with KG1 Forged’s terms. KG1 Forged accepts no responsibility for ensuring such compliance and accepts no liability for any failure to comply.
5. Disclaimer of Liability. KG1 Forged accepts no liability whatsoever for any loss, expense, cost, or claim; or for any direct, indirect or consequential damages that may arise in connection with our submission to this website or your submission of Files.
6. License Held for Materials. You hereby acknowledge that KG1 Forged and its Affiliates hold a worldwide, nonexclusive, royalty-free, perpetual right and license to (a) reproduce, distribute, transmit, publicly perform and publicly display the Materials, in whole or in part, in any manner and Media, (b) modify, adapt, translate and create derivative works from the Materials, in whole or in part, in any manner and Media, and (c) sublicense the foregoing rights, in whole or in part, to any third party, with or without a fee.
7. Express Waiver of Further Payment. You hereby expressly acknowledge that You will not receive any further payment for any Materials from Master Material, LLC D/B/A KG1 Forged, and/or its Affiliates.
8. License for Name, Trademarks and Likenesses. You hereby acknowledge that Master Material, LLC D/B/A KG1 Forged, its Affiliates and sublicensees, hold a nonexclusive, worldwide, royalty-free license to use all trademarks, trade names, and the names and likenesses of any individuals that appear in the Materials. You acknowledge that Master Material, LLC D/B/A KG1 Forged, its Affiliates and sublicensees, hold the right to use the name that You submit in connection with the Materials.
9. Communications. Master Material, LLC D/B/A KG1 Forged and its Affiliates may communicate with You in connection with the Service, electronically and in other Media, and You consent to such communications regardless of any “Customer Communication Preferences” (or similar preferences or requests) You may have indicated on the web sites of KG1 Forged or its Affiliates or by any other means.
10. Jurisdiction. These Terms and Conditions are subject to the laws of the State of Texas, County of Dallas, without giving effect to its conflict of laws principles. The courts of the State of Texas shall have exclusive jurisdiction over any disputes.
11. Changes to Terms and Conditions. We reserve the right to change any of the Terms and Conditions or any guidelines governing the use of Materials at any time in our sole discretion.
12. Entire Disclaimer and Waiver.This page contains the entire agreement relating to your uploading of Materials.
